AGREEMENT TO TERMS

These Terms of Service ("Terms") govern your access to and use of MegaVote Network ("MegaVote", "we", "us", or "our"), including the MegaVote website, Slack app, licensing dashboard, and related services (collectively, the "Service"). MegaVote is operated from Vietnam.

By installing, authorizing, purchasing, or using the Service, you agree to these Terms. If you act for a Slack workspace or another organization, you represent that you are authorized to accept these Terms on its behalf. If you do not agree, do not use the Service.

THE SERVICE

MegaVote lets Slack workspace members create, publish, schedule, manage, and respond to votes and polls. Some features depend on the workspace's Slack plan, MegaVote license state, and permissions granted to the Slack app.

You must be legally capable of entering into these Terms. The Service is intended for workplace use and is not directed to children.

Slack workspace owners and administrators control whether MegaVote is installed and who may use it. Your use of Slack remains subject to your agreement with Slack and your organization's policies.

ACCOUNTS AND AUTHORIZATION

MegaVote uses Slack authorization and Sign in with Slack. MegaVote does not issue a separate username or password.

You are responsible for using an authorized Slack account and for activity performed through your authenticated session. You must not bypass workspace permissions, impersonate another person, or allow unauthorized access to the Service.

WORKSPACE CONTENT

You and your organization retain ownership of poll questions, options, responses, and other content submitted through the Service ("Workspace Content"). You grant MegaVote a limited, non-exclusive license to host, process, transmit, and display Workspace Content only as needed to operate, secure, and support the Service.

You must have the right to submit Workspace Content and must not use the Service to process unlawful content or information that violates another person's privacy, confidentiality, or intellectual property rights. Poll visibility, anonymity, and confidentiality options control how responses are shown to workspace users; MegaVote may still process member identifiers internally to operate the poll and prevent duplicate responses, as explained in our Privacy Policy.

BILLING, CANCELLATION, AND REFUNDS

MegaVote offers monthly and annual subscriptions for eligible paid Slack workspaces. Pricing is based on the workspace's current Slack plan rather than its number of members. A change to the Slack plan may proportionally change the workspace's remaining MegaVote license time.

Eligible Slack workspaces receive a 30-day free trial starting when MegaVote is installed. No purchase is required during the trial. Slack Free workspaces may use the free service without a paid MegaVote license.

Payments extend the shared license time of the Slack workspace associated with the purchase. More than one workspace member may pay, and their purchases may cumulatively extend the same workspace license. Each payer owns and manages only their own subscription and billing relationship.

Subscriptions are billed in advance and renew automatically until canceled. The Paddle entity identified at checkout is the authorized reseller and Merchant of Record. Paddle processes checkout, payment methods, taxes, invoices, recurring charges, cancellations, and refunds. By completing a purchase, you also agree to the applicable Paddle Buyer Terms.

You may cancel at any time through Manage billing in MegaVote or the Paddle customer portal. Cancel before the next renewal date to avoid the next charge. Cancellation takes effect at the end of the current paid billing period and does not remove license time already granted.

The free trial is intended to let users evaluate MegaVote before purchase. Under the Paddle Refund Policy, paid transactions, including subscription renewals, are generally non-refundable unless required by applicable law. Paddle may review a discretionary refund request submitted within 14 days of the transaction date, but a request does not guarantee a refund. Approved refunds and confirmed chargebacks remove the workspace license time granted by the affected transaction. License time purchased independently by other payers remains unaffected. Nothing in this section limits mandatory consumer rights under applicable law.

ACCEPTABLE USE

You must not:

  • use the Service unlawfully or violate another person's rights;
  • harass, threaten, deceive, or impersonate another person;
  • submit malicious code, spam, or content intended to disrupt the Service or Slack;
  • attempt to gain unauthorized access, circumvent security or licensing controls, or probe the Service without permission;
  • scrape, bulk-extract, resell, or commercially exploit the Service or Slack data except as expressly permitted; or
  • reverse engineer the Service except to the extent that applicable law expressly permits it.

MEGAVOTE INTELLECTUAL PROPERTY

MegaVote and its licensors own the Service, software, designs, documentation, trademarks, and other materials we provide. Subject to these Terms, we grant you a limited, revocable, non-exclusive, non-transferable right to use the Service for its intended workplace purpose.

If you send feedback or suggestions, you permit us to use them without restriction or compensation, but this does not transfer ownership of your Workspace Content.

THIRD-PARTY SERVICES

The Service interoperates with third-party services, principally Slack and Paddle. Their services, accounts, availability, and processing of personal data are governed by their own terms and privacy notices. We are not responsible for third-party services outside our control, but this does not affect obligations that cannot lawfully be excluded.

AVAILABILITY AND CHANGES

We may maintain, update, modify, suspend, or discontinue parts of the Service. We will use reasonable efforts to avoid unnecessary disruption but do not guarantee that the Service will always be available or error-free.

Pricing changes apply prospectively and will be communicated where required. Changes to a Slack plan may affect pricing and remaining license duration under the licensing model described above.

SUSPENSION AND TERMINATION

You may stop using MegaVote at any time. A workspace administrator may uninstall the Slack app, and a payer may cancel their own subscription.

We may restrict or suspend access when reasonably necessary to address a material breach of these Terms, fraud, security risk, unlawful activity, non-payment, or harm to the Service or other users. Where practical, we will provide notice and an opportunity to resolve the issue.

Data retained after termination or uninstallation is handled under our Privacy Policy and applicable legal obligations.

DISCLAIMERS

To the maximum extent permitted by law, the Service is provided "as is" and "as available". We disclaim implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant uninterrupted operation or that every feature will work with every Slack configuration.

Nothing in these Terms excludes warranties or rights that cannot legally be excluded.

LIMITATION OF LIABILITY

To the maximum extent permitted by law, MegaVote will not be liable for indirect, incidental, special, punitive, or consequential damages, or for lost profits, revenue, goodwill, or data arising from use of the Service.

MegaVote's aggregate liability relating to the Service will not exceed the amount paid for the MegaVote product through Paddle during the six months before the event giving rise to the claim. These limitations do not apply where liability cannot lawfully be limited.

GOVERNING LAW AND DISPUTES

These Terms are governed by the laws of Vietnam, without limiting mandatory rights available under the law of your country of residence. Before starting formal proceedings, you and MegaVote agree to make a reasonable effort to resolve the dispute through written notice and good-faith discussion for at least 30 days.

Unresolved disputes are subject to the competent courts of Vietnam, unless applicable law requires another forum.

CHANGES TO THESE TERMS

We may update these Terms to reflect changes to the Service, law, or our business practices. We will update the effective date and provide additional notice where required by law. Changes apply prospectively from their stated effective date.
